just downloaded and burned the latest Precompiled Boot ISO (.zip) (for windows)
and burned it to a CDR with IMGburn ...booted machine hangs at:
LOADING..............left it for 20 +minutes.never went past that.
re-burnedCDR using windows disk image burner
same result

Older version of memtest booted fine.

What could be issue?

Which version(s) did you try? Both V5 and V6 (beta) are current.
What are the specs for the machine?
Can it boot from a USB drive?

i downloaded the 5.0.1 version, machine is a C2D E6400 running W7 ultimate(32 bit) with 4BG of ram.
I originally tried booting from USB but it didn't seem to want to, it just skipped the USB

We don't have any version called, V5.0.1.
I think you are getting us confused with MemTest86+ (who named their product the same).
You might want to contact the MemTest86+ developer.
